1. Introduction

Welcome to Cautellus! These Terms of Service (“Terms”) are between you and MCD LLC, operating the Cautellus website and services under the Cautellus brand. These Terms govern your use of our web pages located at https://cautellus.com and the Cautellus browser extension (collectively, the “Service”). Our Privacy Policy also governs your use of the Service and explains how we collect, safeguard, and disclose information that results from your use of it. Your agreement with us includes these Terms and our Privacy Policy (“Agreements”). You acknowledge that you have read and understood Agreements, and agree to be bound by them. If you do not agree with (or cannot comply with) Agreements, then you may not use the Service. These Terms apply to all visitors, users, and others who wish to access or use the Service.

2. Communications

By creating an Account on our Service, you agree to subscribe to newsletters, marketing or promotional materials, and other information we may send. However, you may opt out of receiving any, or all, of these communications from us by following the unsubscribe link or by emailing us.

3. Purchases

If you wish to purchase any product or service made available through the Service ("Purchase"), you may be asked to supply certain information relevant to your Purchase, including your credit card number, the expiration date of your credit card, your billing address, and your shipping information. You represent and warrant that: (i) you have the legal right to use any credit card(s) or other payment method(s) in connection with any Purchase; and that (ii) the information you supply to us is true, correct, and complete. We may employ the use of third-party services for the purpose of facilitating payment and the completion of Purchases. By submitting your information, you grant us the right to provide the information to these third parties subject to our Privacy Policy.

4. Accounts

When you create an account with us, you guarantee that you are above the age of 18, and that the information you provide us is accurate, complete, and current at all times. Inaccurate, incomplete, or obsolete information may result in the immediate termination of your account on Service. You are responsible for maintaining the confidentiality of your account and password, including but not limited to the restriction of access to your computer and/or account. You agree to accept responsibility for any and all activities or actions that occur under your account and/or password, whether your password is with our Service or a third-party service. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account. We reserve the right to refuse service, terminate accounts, remove or edit content, or cancel orders in our sole discretion.

5. Subscriptions

Some parts of the Service are billed on a subscription basis ("Subscription(s)"). You will be billed in advance on a recurring and periodic basis ("Billing Cycle"). Billing cycles are set either on a monthly or annual basis, depending on the type of subscription plan you select when purchasing a Subscription. At the end of each Billing Cycle, your Subscription will automatically renew under the exact same conditions unless you cancel it or Cautellus cancels it. You may cancel your Subscription renewal either through your online account management page or by contacting Cautellus customer support team.

6. Fee Changes

Cautellus, in its sole discretion and at any time, may modify Subscription fees for the Subscriptions. Any Subscription fee change will become effective at the end of the then-current Billing Cycle. Cautellus will provide you with a reasonable prior notice of any change in Subscription fees to give you an opportunity to terminate your Subscription before such change becomes effective. Your continued use of the Service after the Subscription fee change comes into effect constitutes your agreement to pay the modified Subscription fee amount.

9. Content

Our Service allows you to submit messages for analysis. You are responsible for the Content that you submit, including its legality, reliability, and appropriateness. By submitting Content for analysis, you represent and warrant that: (i) the Content does not violate the privacy rights, publicity rights, copyrights, contract rights, or any other rights of any person or entity.

10. Links To Other Web Sites

Our Service may contain links to third party web sites or services that are not owned or controlled by Cautellus. Cautellus has no control over, and assumes no responsibility for the content, privacy policies, or practices of any third party web sites or services. We do not warrant the offerings of any of these entities/individuals or their websites.

11. Intellectual Property

Service, features and functionality are and will remain the exclusive property of Cautellus and its licensors. Service is protected by copyright, trademark, and other laws of the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Cautellus.

13. Prohibited Uses

You agree not to use the Service in any way that violates any applicable national or international law or regulation, exploits or harms minors, or engages in any other conduct that restricts or inhibits anyone's use or enjoyment of the Service. Additionally, you agree not to use any robot, spider, or other automatic device to access the Service for any unauthorized purpose.

17. Changes to Service

We reserve the right to withdraw or amend our Service, and any service or material we provide via the Service, in our sole discretion without notice. We will not be liable if for any reason all or any part of the Service is unavailable at any time or for any period.

18. Amendments to Terms

We may amend Terms at any time by posting the amended terms on this site. It is your responsibility to review these Terms periodically. Your continued use of the Platform following the posting of revised Terms means that you accept and agree to the changes.

19. Limitation of Liability

In accordance with the law, you agree to hold us and our officers, directors, employees, and agents harmless for any indirect, punitive, special, incidental, or consequential damage, however it arises. Except as prohibited by law, if there is liability found on the part of the company, it will be limited to the amount paid for the products and/or services, and under no circumstances will there be consequential or punitive damages.

20. Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of Terms. If you wish to terminate your account, you may simply discontinue using the Service.

21. Disclaimer Of Warranty

THESE SERVICES ARE PROVIDED BY COMPANY ON AN "AS IS" AND "AS AVAILABLE" BASIS. COMPANY MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE OPERATION OF THEIR SERVICES, OR THE INFORMATION, CONTENT OR MATERIALS INCLUDED THEREIN. YOU EXPRESSLY AGREE THAT YOUR USE OF THESE SERVICES, THEIR CONTENT, AND ANY SERVICES OR ITEMS OBTAINED FROM US IS AT YOUR SOLE RISK.

22. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of Delaware without regard to its conflict of law provisions.

23. Cookies & Tracking

Cautellus uses cookies and similar tracking technologies to analyze site usage and improve our services. By using our Service, you consent to the use of cookies as described in our Privacy Policy.

We use Google Analytics to understand how visitors interact with our site. This data is anonymized and used solely to improve our tools and content.

25. Security Audit Kit — Digital Product Disclosures

The Cautellus Security Audit Kit (the “Kit”) is a one-time-purchase digital product consisting of templates, checklists, prompts, and reference materials. By purchasing the Kit you specifically acknowledge and agree to the following:

• Not legal advice. The Kit and all materials within it are provided for educational and informational purposes only. Nothing in the Kit constitutes legal advice, regulatory compliance certification, accounting advice, or professional security consulting. You should consult a qualified attorney, licensed security professional, or compliance auditor before making any decision based on the materials.
• Not a compliance certification. Completing exercises in the Kit does NOT certify your business as compliant with SOC 2, ISO 27001, GDPR, HIPAA, PCI-DSS, CCPA, or any other standard or framework. Formal certification requires an independent qualified auditor.
• Self-applied; you verify applicability. The Kit is designed to be adaptable across industries and tech stacks, but YOU are solely responsible for determining whether any specific template, checklist item, or recommendation applies to your business, data, jurisdiction, or risk profile. Cautellus makes no representation that any specific item is appropriate or sufficient for your situation.
• Third-party AI tools. Some materials in the Kit are designed to be used with third-party AI tools (e.g., Claude, ChatGPT, GitHub Copilot). Your use of those tools is governed by the respective provider’s terms of service and privacy policy, not by Cautellus. Outputs from those tools should be independently verified.
• No refunds on downloaded digital products. Because the Kit is a digital product delivered immediately upon successful purchase, all sales are final. Once the Kit (or any file within it) has been downloaded or accessed from your account, the purchase is non-refundable. If the Kit is genuinely defective (e.g., a corrupted or missing file), contact support@cautellus.com within 14 days of purchase and we will repair the issue.
• 12 months of free updates included. Your purchase entitles you to free updates to the Kit for 12 months from your purchase date. After 12 months, continued access to future major versions may require a separate purchase. Existing files in your account remain downloadable indefinitely so long as your account is in good standing.
• Account required for ongoing access. The Kit is delivered to a Cautellus account associated with the email used at checkout. You are responsible for maintaining access to that account. If the account is terminated for breach of these Terms, access to previously purchased downloads may be revoked.
• Not a substitute for a Plus subscription. Purchasing the Kit does NOT grant access to the Cautellus scam-detection scanner’s paid Plus features, which are a separate subscription product.
• Personal & internal business use. You may use the Kit for personal use or for the internal security work of a single business or organization that you own or are employed by. You may NOT resell, redistribute, republish, sublicense, or release the Kit’s contents in whole or in part as a separate product, course, paid newsletter, or for any other commercial offering directed to third parties.

The disclaimers in this section are in addition to, and do not limit, the warranty disclaimers and limitation of liability set out elsewhere in these Terms (including Sections 19 and 21).
